TERMS & CONDITIONS OF MEMBERSHIP

1. ACCEPTANCE OF TERMS
By joining, registering, or participating in Women in Business National Network (“WIBNN,” “we,” “us,” or “our”) in any capacity—including as a general member, event attendee, or chapter leader—you (“Member”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not participate in WIBNN.
WIBNN reserves the right to update these Terms at any time. Continued membership or participation following notice of changes constitutes acceptance of the revised Terms.

1. ABOUT WIBNN
Women in Business National Network is a national chapter-based professional organization dedicated to connecting, empowering, and elevating women in business across the United States. WIBNN operates under Black Byrd Enterprises and is headquartered in Austin, Texas.

1. MEMBERSHIP
3.1 Eligibility
Membership in WIBNN is open to women entrepreneurs, business professionals, and allies who support the advancement of women in business. WIBNN reserves the right to approve or decline any membership application at its sole discretion.
3.2 Membership Fees
Membership requires payment of applicable fees as outlined on the WIBNN website or membership portal. Fees are subject to change with reasonable advance notice to current members.
• All membership fees are due at the time of enrollment or renewal.
• Failure to pay applicable fees may result in suspension or termination of membership.
• WIBNN reserves the right to offer tiered membership levels with varying benefits and pricing.
3.3 Member Benefits
Membership benefits may include, but are not limited to: access to WIBNN events and programs, national network directory listing, chapter participation, educational resources, and networking opportunities. Benefits are subject to change based on membership tier and WIBNN programming decisions.
3.4 Membership Term & Renewal
Memberships are offered on a monthly and/or annual basis unless otherwise specified. Members will be notified prior to their renewal date. Membership is non-transferable.

1. PAYMENT & REFUND POLICY
4.1 Payment
All payments for membership fees, event registrations, and other WIBNN programs must be made through WIBNN’s designated payment channels. WIBNN accepts major credit cards and other approved payment methods as listed at the time of transaction.
4.2 Refund Policy
• Membership Fees: Membership fees are non-refundable, except where required by applicable law.
• Event Registrations: There are no refund requests for events. Event credits may be issued at WIBNN’s discretion.
• Program Fees: Fees paid for WIBNN programs, courses, or workshops are non-refundable once access has been granted or the program has commenced.
• Exceptional Circumstances: WIBNN may, at its sole discretion, issue credits or partial refunds in cases of documented extenuating circumstances.
4.3 Chargebacks
Members agree not to initiate chargebacks or payment disputes without first contacting WIBNN to resolve the issue. Abuse of the chargeback process may result in immediate membership termination.

1. CHAPTER LEADER ROLES & OBLIGATIONS
5.1 Chapter Leader Selection
Chapter leaders are individuals selected by WIBNN leadership to establish and manage local WIBNN chapters in designated cities. Selection is based on professional background, community leadership, and alignment with WIBNN’s mission and values. Chapter leader status is not guaranteed and is granted at WIBNN’s sole discretion.
5.2 Chapter Leader Responsibilities
By accepting a chapter leader role, you agree to:
• Actively recruit members and grow your local WIBNN chapter in accordance with WIBNN standards.
• Host a minimum number of events or programs per year as established by WIBNN leadership.
• Represent WIBNN’s brand, mission, and values professionally at all times.
• Comply with all WIBNN operational guidelines, branding standards, and reporting requirements.
• Maintain open and timely communication with WIBNN national leadership.
• Refrain from launching competing women’s networking organizations within your designated chapter territory during your tenure.
5.3 Chapter Leader Agreement
Chapter leaders are required to execute a separate Chapter Leader Agreement, which governs the specific terms of their role, responsibilities, compensation or fee structures (if applicable), and termination provisions. These Terms are incorporated by reference into that Agreement.
5.4 Termination of Chapter Leader Status
WIBNN reserves the right to revoke chapter leader status at any time for failure to meet obligations, conduct inconsistent with WIBNN values, or for any reason deemed necessary to protect the integrity of the organization.

1. EVENTS & PROGRAMS
Participation in WIBNN events and programs is subject to availability and may require separate registration and/or payment. WIBNN reserves the right to modify, cancel, or reschedule events at any time. In the event of cancellation by WIBNN, registered participants will be notified and offered a credit or refund of event fees paid.
By attending WIBNN events, you consent to being photographed or recorded for organizational use, including promotional materials, social media, and marketing content, unless you notify WIBNN in writing prior to the event.

1. CODE OF CONDUCT
7.1 Community Standards
WIBNN is committed to maintaining a professional, inclusive, and empowering environment for all members. All members, chapter leaders, and event participants are expected to:
• Treat all individuals with respect, dignity, and professionalism.
• Refrain from discrimination, harassment, or bullying of any kind based on race, color, religion, gender, sexual orientation, national origin, age, disability, or any other protected characteristic.
• Conduct business and networking interactions with honesty and integrity.
• Respect the confidentiality of information shared within WIBNN programs and events.
• Refrain from using WIBNN platforms or events to promote pyramid schemes, multi-level marketing, or predatory business practices.
• Avoid unsolicited sales pitches or spam communications to fellow members.
7.2 Enforcement
Violations of this Code of Conduct may result in suspension, membership termination, or removal from WIBNN events and platforms without refund. WIBNN’s decisions regarding conduct violations are final.

1. INTELLECTUAL PROPERTY
8.1 WIBNN Content
All content, materials, branding, curricula, programming, event content, logos, graphics, and other intellectual property created by or for WIBNN (“WIBNN Content”) are the exclusive property of Women in Business National Network and/or Black Byrd Enterprises. No WIBNN Content may be reproduced, distributed, modified, or used for commercial purposes without prior written consent from WIBNN.
8.2 Member Content
By submitting content to WIBNN platforms, directories, or communications (including photos, bios, testimonials, or presentations), you grant WIBNN a non-exclusive, royalty-free license to use, display, and distribute such content for organizational and promotional purposes.
8.3 Chapter Materials
Any materials, templates, or branding assets provided by WIBNN to chapter leaders are licensed for use solely in connection with official WIBNN chapter activities. Such materials may not be used for personal business promotion or shared outside of the WIBNN organization without written permission.

1. PRIVACY & DATA USE
9.1 Data Collection
WIBNN collects personal information (including name, contact information, business details, and payment data) for the purpose of administering membership, delivering programs, and communicating organizational updates. Your data is collected and processed in accordance with our Privacy Policy, available on the WIBNN website.
9.2 Member Directory
By becoming a member, you consent to having your name and professional information listed in the WIBNN member directory unless you opt out in writing. Directory information is accessible to other WIBNN members for networking purposes only.
9.3 Communications
By joining WIBNN, you agree to receive organizational communications including newsletters, event announcements, and membership updates. You may opt out of marketing communications at any time, though transactional and membership-related communications may still be sent.
9.4 Data Security
WIBNN takes reasonable measures to protect member data. However, WIBNN cannot guarantee absolute security of information transmitted electronically and is not liable for unauthorized access beyond our reasonable control.
9.5 Third-Party Sharing
WIBNN does not sell member data to third parties. We may share information with trusted service providers necessary to operate our organization (e.g., payment processors, event platforms) subject to confidentiality obligations.

1. LIABILITY & DISCLAIMERS
10.1 Limitation of Liability
To the fullest extent permitted by law, WIBNN, its officers, directors, employees, chapter leaders, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your membership, participation in events, or use of WIBNN platforms, even if advised of the possibility of such damages.
10.2 No Professional Advice
Content shared through WIBNN events, programs, and communications is for informational and networking purposes only and does not constitute legal, financial, business, or professional advice. Members should seek qualified professional counsel for specific business matters.
10.3 Indemnification
You agree to indemnify, defend, and hold harmless WIBNN and its affiliates from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your conduct at WIBNN events, or your misuse of WIBNN resources.
10.4 Event Participation
Participation in WIBNN events is at your own risk. WIBNN is not responsible for personal injury, property damage, or loss occurring at or in connection with WIBNN events or activities.

1. TERMINATION OF MEMBERSHIP
WIBNN reserves the right to suspend or terminate any membership at its sole discretion for violations of these Terms, non-payment of fees, conduct detrimental to the organization, or any other reason consistent with WIBNN’s mission and values. Members may also voluntarily cancel their membership in writing. Termination does not entitle the member to a refund of fees paid, except as outlined in Section 4.

1. GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or your membership shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Travis County, Texas, in accordance with applicable arbitration rules.
